Marsh in the market for another big buy?

Marsh in the market for another big buy?
By SALLY ROBERTS
Dec. 08, 2008

NEW YORK-While Marsh & McLennan Cos. Inc. may be shopping the brokerage marketplace with $2 billion to spend, analysts' opinions vary about what the New York-based firm may buy.

MMC said late last month that it planned to issue up to $500 million in stock to fund future acquisitions. That sum and the roughly $1.5 billion in cash on its balance sheet make a deal in the $2 billion range possible, analysts say.

While some analysts look favorably on a large deal-especially one that fills out MMC's soon-to-be-launched small-account agency initiative-others say smaller, more strategic deals make better sense.

"We have always said we will opportunistically seek attractively priced acquisitions that complement our existing businesses and benefit both clients and shareholders," MMC said in a statement after its Nov. 21 shelf registration with the U.S. Securities and Exchange Commission to issue roughly 22.6 million shares in the event of an acquisition. "This shelf registration provides us with additional flexibility to take advantage of such an opportunity should it arise."

The company would not comment on any specific plans.
"There is no question the company has an appetite to acquire," Keith F. Walsh, an analyst with Citigroup Research in New York, said in a research note. He cited the recent competition between MMC and Aon Corp. to buy Benfield Group Ltd. Aon eventually won out, paying $1.43 billion in cash late last month for the London-based reinsurance broker.

In an interview last week, Mr. Walsh said he thinks MMC will use the capital to build out its small-agency platform, Marsh & McLennan Agency L.L.C., which Marsh Inc. plans to launch in the first quarter of 2009 to serve U.S.-based companies generating less than $75 million in annual revenue.

"The small-agency platform is clearly where they are headed with this, I think," Mr. Walsh said.
While Marsh may use its capital to buy "dozens and dozens" of smaller agencies to build out this platform, a large-scale acquisition is not out of the question, he said.

He said such firms as BB&T Insurance Services Inc., Jardine Lloyd Thompson Group P.L.C. and Arthur J. Gallagher & Co. "make sense" for MMC. "I also think the private equity firms of USI (Holdings Corp.) and Hub (International Ltd.) make sense based on the fact they are decent-sized properties and the private equity firms that bought them may want to cash out and use the money to redeploy elsewhere."

Such a deal would "fit well with what Marsh wants to do as well with what the private equity firms might want to do," Mr. Walsh said.

In 2007, GS Capital Partners, a private equity affiliate of Goldman, Sachs & Co., purchased USI for $1.4 billion, and private equity group Apax Partners and Morgan Stanley Principal Investments bought Chicago-based Hub International Ltd. for about $1.8 billion.

Representatives for BB&T, Gallagher and Hub declined to comment. Representatives from JLT and USI could not be reached for comment.

Meyer Shields, an analyst with Stifel, Nicolaus & Co. Inc. in Baltimore, said he sees two potential categories of potential acquisitions for MMC.

"The first would be broadening out their international footprint. Right now, on a proportional basis, they've got more U.S. and Western Europe and less developing economies than (Willis Group Holdings Ltd.) and Aon as a percent of revenue. So, certainly that's one alternative," he said.

"The second place where they are underrepresented is in the small and middle market in the U.S. There they would have to do a pretty sizable acquisition to actually make a difference."

"Gallagher, I think, is a pretty good cultural fit in terms of how they treat employees and how they treat clients," he said, noting that while the brokerage could improve its margins, it has been consistently profitable.

While several observers expect MMC to expand through acquisition, not everyone thinks a large-scale deal is in MMC's best interests right now.

"I think a large deal would be a challenge to integrate given the challenges and the management changes they've had in the U.S.," said Mark Lane, a principal and research analyst with William Blair & Co. in Chicago. "Their cost structure is still out of whack in the U.S. and I don't know if an acquisition is the best way to drive another round of restructuring."

"Bolt-on deals and other smaller strategic deals is probably the most likely scenario," Mr. Lane said.
But Cliff Gallant, an analyst with Keefe, Bruyette & Woods Inc. in New York, noted that while MMC is indeed internally focused, a large deal could happen, given the history of MMC Chief Executive Officer Brian Duperreault, whom he described as "aggressive" on the merger and acquisition front while CEO of ACE Ltd.

"It would not surprise me if (MMC) saw the right opportunity they were willing to strike," Mr. Gallant said.

Yesterday – Leona Lewis

I just can't believe you're gone Still waiting for morning to come
Wanna see if the sun will rise
In the way that you're by my side ooo
When we had so much in store
Tell me what is it I'm reaching for
When we're through building memories
I'll hold yesterday in my heart, in my heart

[Chorus]
They can take tomorrow and the plans we made (plans we made)
They can take the music that will never play
All the broken dreams, take everything
Just take it away but they can never have yesterday

They can take the future that we'll never know (never know)
They can take the places that we said we will go,
All the broken dreams take everything
Just take it away but they can never have yesterday

You always use to say
I should be thankful for everyday
Heaven knows what the future holds
Or least how the story goes
I never believed them til now
I know I'll see you again I'm sure
No it's not selfish to ask for more
One more night one more day
One more smile on your face
But they can't take yesterday
[ Find more Lyrics at www.mp3lyrics.org/xq ]

[Chorus]
They can take tomorrow and the plans we made (plans we made)
They take the music that will never play
All the broken dreams (oh the broken dreams),
take everything (take everything)
Just take it away, but they can never have yesterday

They can take the future that we'll never know (never know)
They can take the places that we said we will go
All the broken dreams (oh the broken dreams),
take everything (take everything)
Just take it away, but they can never have yesterday

I thought our days would last forever
But it wasnt our destiny
Cuz in my mind we had so much time
But I was so wrong
Now I can believe that
I can still find the strengh in the moments we made
I'm lookin back on yesterday

[Chorus]
They can take tomorrow and the plans we made (plans we made)
They take the music that will never play (I know)
All the broken dreams (oh the broken dreams),
take everything (take everything)
Just take it away, but they can never have yesterday (yesterday)

They can take the future that we'll never know (never know)
They can take the places that we said we will go
All the broken dreams (oh the broken dreams), take everything
Just take it away (take everything)
But they can never have yesterday

Oh the broken dreams, take everything
But they can never have yesterday

安静了 – SHE

I did a posting on this song over at Facebook's Notes on 27th September 2008 when my blog was down.
It was a very new song then with no MTV available.
All I know was this song was written by my "bf", Jay Chou.

While going through Princess Yvonne's blog a little while ago and I saw the MTV over at her blog.

The main lead in the MTV is the Ethan Ruan, the one who added in Fated to Love.
Hee…… Somehow, I still quite heart him.

In the meanwhile, enjoy the MTV.

Blood Type Diet – Type A

Type As flourish on vegetarian diets Type As are predisposed to heart disease, cancer, and diabetes. It is particularly important for sensitive Type As to get their foods in as natural a state as possible: fresh, pure, and organic. When you get on the Type A Diet, you will naturally be thinner. If you are accustomed to eating meat, you'll lose weight rather rapidly in the beginning as you eliminate the toxic foods from your diet. And when you follow the Type diet, you can supercharge your immune system and potentially short-circuit the development of life-threatening diseases.

When Type As eat meat, they experience sluggishness. Type As have low stomach-acid content, therefore they have a hard time digesting meat. Since Type As eat very little animal protein, nuts and seeds supply an important protein component. Type As also thrive on the vegetable proteins found in beans and legumes, except those mentioned for the "Avoid" list. These beans can cause a decrease in insulin production, which may cause obesity and diabetes. Tofu should be a staple in the Type A Diet.

Dairy foods are also poorly digested by Type As, and can cause metabolic slowdown. Type As can tolerate small amounts of fermented dairy products such as yogurt, kefir, nonfat sour cream, and cultured dairy products.

Vegetables are vital to the Type A Diet, providing minerals, enzymes and antioxidants. Type A are very sensitive to the lectins in potatoes, sweet potatoes, yams, cabbage, tomatoes and peppers. They aggravate the delicate stomach of Type A. Type A should eat more fruits that are alkaline, avoid mangoes, papaya and oranges for they are not good for your digestive tract.

Meats and Poultry – Type As should eliminate all meats from their diet. Food allowed: Chicen, Cornish hens, Turkey. Food not allowed: Beef, Pork, Lamb, Veal, Venison, Duck, Goose.

Seafood – Most Beneficial: Carp, Cod, Grouper, Mackerel, Monkfish, Pickerel, Red snapper, Rainbow trout, Salmon, Sardine, Sea trout, Silver perch, Snail, Whitefish, Yellow Perch. Food not allowed: Anchovy, Barracuda, Beluga, Bluefish, Bluegill bass, Catfish, Caviar, Clam, Conch, Crab, Crayfish, Eel, Flounder, Frog, Gray sole, Haddock, Hake, Halibut, Herring, Lobster, Lox, Mussels, Octopus, Oysters, Scallop, Shad, Shrimp, Sold, Squid, Striped bass, Tilefish, Turtle.

Dairy – Most dairy products are not digestible for Type As. Food allowed: Yogurt, Mozzarella, Feta, Goat cheese, Goat milk, Kefir, Ricotta, String cheese. Food not allowed: All other cheeses and milk. (Luckily, I do not like dairy products.)

Fats – Most Beneficial: Flaxseed oil, Olive oil. Food allowed: Canola Oil, Cod liver oil. Food not allowed: Oil of corn, cottonseed, peanut, safflower and sesame.

Nuts – Most Beneficial: Peanuts, Pumpkin Seeds. Food not allowed: Brazil nuts, cashews, Pistachios. (Pistachios not allowed? =_( They are so nice.)

Beans – These beans can cause a decrease in insulin production for Type As. Food not allowed: Beans – copper, garbanzo, kidney, lima, navy, red, tamarind. Type As thrive on the vegetable proteins found in beans and legumes. Most Beneficial: Beans (Aduke, Azuki, Black, Green, Pinto, Red soy), Lentils and Black-eyed pea.

Grains – Type As generally do well on cereals and grains. Select the more concentrated whole grains instead of instant and processed cereals. Most Beneficial: Amaranth, Buckwheat. Food not allowed: Cream of wheat, Familia, Farina, Granola, Grape nuts, Wheat germ, Seven grain, Shredded wheat, Wheat bran, Durum wheat.

Bread & Noodles – Type As have a wonderful selection and choices in grains and pastas. Most Beneficial: Bread (Essene, Ezekiel, Soya flour, Sprouted wheat), Rice cakes, Flour (Oat, Rice, Rye), Soba Noodles, Pasta (Artichoke). Food not allowed: nglish muffins, Bread (High-protein whole wheat, Multi-grain), Matzos, pumpernickel, Wheat bran muffins, Flour (white, whole wheat), Pasta (Semolina, spinach).

Vegetables – Type As are very sensitive to these vegetables. They have a strong deleterious effect on the Type A digestive tract.. Food not allowed: Peppers, olives, Potatoes, Sweet potatoes, Yams, All kinds of cabbage, Tomatoes, Lima beans, Eggplant, Mushroom. (I can't have cabbage soup diet?!?!?!) These vegetables enhance the immune system of Type As. Most Beneficial: Garlic, Onions, Broccoli, carrots, collard greens, kale, pumpkin, spinach (To eat more. My mum cooks pumpkin today. Though I do not like the taste but looks like die-die-I-must-eat kind). Vegetables are vital to the Type A diet, providing minerals, enzymes and Antioxidants. Eat vegetables in as natural a state as possible (raw or steamed) to preserve their full benefits. Most Beneficial: Artichoke, Chicory, Greens (Dandelion, Swiss Chard), Horseradish, Leek, Romaine, Okra, Parsley, Alfalfa Sprouts, Tempeh, Tofu, Turnip. (Luckily, I still can have tofu) Most fruits are allowed for Type As, although try to emphasize more alkaline fruits can help to balance the grains that are acid forming in Type As muscle tissues. Most Beneficial: Berries (blackberries, blueberries, boysenberries, cranberries), plums, Prunes, Figs (I dislike berries.) High mold counts of these fruits make it hard for Type As to digest. Food not allowed: Melons, cantaloupe, honeydew. Type As don't do well on these fruits. Food not allowed: Mangoes, papaya, Bananas, Coconuts. These fruits are stomach irritant for Type As, and they also interfere with the absorption of minerals. Food not allowed: Orange, Rhubarb, Tangerines. The digestive enzyme in this fruit is an excellent digestive aid for Type As. Most Beneficial: Pineapples, Cherries, Apricots. (I love pineapples!) These fruits exhibit alkaline tendencies after digestion which has a positive effects on the Type A stomach. Most Beneficial: Grapefruit, Lemon. (I like sour fruits!)

Spices – The right combination of spices can be powerful immune-system boosters for Type As. Most Beneficial: Tamari, miso, soysauce, garlic, ginger. Good source of iron, a mineral that is lacking in the Type A Diet. Most Beneficial: Blackstrap molasses. Avoid these because the acids tend to cause stomach lining irritation. Food not allowed: Vinegar, Pepper (black, cayenne, white), Capers, Plain Gelatin, Wintergreen. (Damn! I like vinegar lor.)

Condiments – These products should be avoided because Type As have low levels of stomach acid. Food not allowed: Ketchup, Mayonnaise, Pickles, Relish, Worcestershire sauce.

Beverages – These beverages help to improve the immune systems for Type As. Most Beneficial: Hawthorn, Aloe, Alfalfa, Burdock, Echinacea, Green tea, Red wine (1 glass / day). These beverages help Type As to increase their stomach-acid secretions. Most Beneficial: Ginger, Slippery elm, Coffee (1 cup / day). These don't suit the digestive system of Type As, nor do they support the immune system. Food not allowed: Beer, Distilled liquor, Seltzer water, Soda, Black Tea. (What!?!?! I will treat it as I never see this. =P)

Here is a summary :

1. Start  with 10-12 glasses of room temperature pure filtered water a day. Begin in the morning with 2 glasses of water to purify and hydrate your body from the overnight dehydration. Bring a water bottle around with you during the day, and drink water whenever you feel thirsty.

2. Your carbohydrates intake should comprise primarily of whole grain cereal, barley, and oats. These are low glycemic index food that converts into sugar once inside your body at a slow and steady pace. Reduce high glycemic carbohydrates intake such as rice, wheat, bread, pasta, and rice which converts into sugar quickly once taken in and cause a rise in blood sugar level. Sustained intake of high glycemic food leads to obesity and adult onset diabetes and is a leading cause of aging. You don't have to avoid all grains, as it is a good source of energy. The key is to take good grains and avoid bad grains.

3. 8-10 portions of vegetables should be taken. Choose above ground green leafy vegetables. Generally speaking, the more colorful the vegetable, the more anti-oxidant is inside and the better it is for you. Avoid  vegetables that grow underground such as potato, yam, and carrots because they behave like high glycemic index type carbohydrates and leads to sugar imbalance.

4. Low glycemic index type fruits should be taken, such as apple or blueberry.   Always take whole fruits and avoid fruit juices which are high in sugar and low in fiber.

5.  Legumes , organic eggs, and nuts are excellent source of protein.  One to two eggs a day can be taken in without significant rise in blood cholesterol if you are healthy.

6. At least 8 oz of cold water deep sea fish such as salmon or tuna should be taken per week. This will provide the body with the necessary omega 3 fatty acid as well as protein. Stay away from fresh water or costal water fish which can be contaminated.  Free range chicken is a good source of protein also and can be taken twice a week.

7. Red meat such as beef should be restricted to once or twice a week , together with dessert such as ice cream and cakes. Try to take in beef that comes from cattle that are grass fed instead of grain fed in their diet.

8. Olive or Canola Oil should be used in preparation of food.  It contains mono-unsaturated fat . Stay away from polyunsaturated fat that comes after processing, such as corn oil, safflower oil, and sunflower oil. The commercialization processes changes the structure of the fat and makes it harmful for the body.  Avoid trans-fat that is found in margarine, cookies, and pastries as much as possible. It is the worse type of fat, much worse than the saturated fat you find in red meat.

Additional Notes:

  1. I try to rotate my food so I don’t eat the same food not more than once every four days to minimize allergies
  2. I drink water with a few slices of lemon to alkalize my body. No coffee. Herbal tea only.
  3. I do eat some ice cream from time to time to enjoy my life.
  4. I take my supplements.
  5. I take my breakfast around 7 am, lunch at 12 , and dinner at 6 pm

Good cheer may spread itself, a study suggests

Source: Yahoo.com.sg

LONDON – When you're smiling, the whole world really does smile with you

A paper being published Friday in a British medical journal concludes that happiness is contagious _ and that people pass on their good cheer even to total strangers.

American researchers who tracked more than 4,700 people in Framingham, Mass., as part of a 20-year heart study also found the transferred happiness is good for up to a year.

"Happiness is like a stampede," said Nicholas Christakis, a professor in Harvard University's sociology department and co-author of the study. "Whether you're happy depends not just on your own actions and behaviors and thoughts, but on those of people you don't even know."

While the study is another sign of the power of social networks, it ran through 2003, just before the rise of social networking Web sites like Friendster, MySpace and Facebook. Christakis couldn't say for sure whether the effect works online.

"This type of technology enhances your contact with friends, so it should support the kind of emotional contagion we observed," he said.

Christakis and co-author James Fowler, of the University of California in San Diego, are old hands at studying social networks. They previously found that obesity and smoking habits spread socially as well.

For this study, published in the British journal BMJ, they examined questionnaires that asked people to measure their happiness. They found distinct happy and unhappy clusters significantly bigger than would be expected by chance.

Happy people tended to be at the center of social networks and had many friends who were also happy. Having friends or siblings nearby increased people's chances of being upbeat. Happiness spread outward by three degrees, to the friends of friends of friends.

Happy spouses helped, too, but not as much as happy friends of the same gender. Experts think people, particularly woman, take emotional cues from people who look like them.

Christakis and Fowler estimate that each happy friend boosts your own chances of being happy by 9 percent. Having grumpy friends decreases it by about 7 percent.

But it also turns out misery don't love company: Happiness seemed to spread more consistently than unhappiness. But that doesn't mean you should drop your gloomy friends.

"Every friend increases the probability that you're at the center of a network, which means you are more eligible to get a wave of happiness," Fowler said.

Being happy also brings other benefits, including a protective effect on your immune system so you produce fewer stress hormones, said Andrew Steptoe, a psychology professor at University College London who was not involved with the study.

But you shouldn't assume you can make yourself happy just by making the right friends.

"To say you can manipulate who your friends are to make yourself happier would be going too far," said Stanley Wasserman, an Indiana University statistician who studies social networks.

The study was only conducted in a single community, so it would take more research to confirm its findings. But in a time of economic gloom, it also suggested some heartening news about money and happiness.

According to the research, an extra chunk of money increases your odds of being happy only marginally _ notably less than the odds of being happier if you have a happy friend.

"You can save your money," Christakis said. "Being around happy people is better."
